These Terms of Service ("Terms") govern your access to and use of TradeFlow OS, operated by TradeFlow Software, LLC ("Company", "we", "us", "our"). By accessing or using the platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.

Description of Service

TradeFlow OS is a cloud-based platform that enables commodity trading professionals to create and manage trade documents, conduct sanctions screening, manage deal pipelines, establish provenance records, and build a verified trading reputation score.

Role of TradeFlow OS

Important notice

TradeFlow OS is a software tool that helps you create documents, screen names, and manage your own trading activity. We are not a party to any trade, contract, or transaction between you and any counterparty, and we are not a broker, dealer, agent, escrow, financial institution, or adviser of any kind.

We do not introduce, endorse, vet, guarantee, or vouch for any user, counterparty, buyer, seller, intermediary, commodity, or transaction. The presence of a user, a TradeFlow Score, a public profile, a verification badge, or any document on the platform is not a recommendation, a representation of legitimacy, or a guarantee of identity, solvency, authority, performance, or good faith.

We do not provide legal, financial, tax, accounting, investment, brokerage, or compliance advice, and nothing on the platform should be relied on as such. Documents and analysis generated or stored on the platform, including AI-assisted output, are tools only and do not constitute a binding contract, a legal opinion, or advice unless and until you independently review, validate, and execute them.

You are solely responsible for evaluating, verifying, and conducting your own due diligence on every counterparty, document, commodity, and transaction, and for deciding whether and how to proceed. Any reliance you place on the platform, its features, or its outputs is at your own risk.

Eligibility

You must be at least 18 years old and able to form a legally binding contract to use TradeFlow OS. By creating an account, you represent that you meet these requirements and that the information you provide is accurate and complete.

Accounts and Security

You are responsible for maintaining the security of your account credentials. Notify us immediately at legal@tradeflow-os.com if you suspect unauthorized access.

You may not share your account with others or create accounts on behalf of third parties without authorization.

One Account Per User

Each individual or legal entity may maintain only one TradeFlow OS account, unless we expressly authorize additional accounts in writing. You may not create or operate multiple, duplicate, or alternate accounts, whether under your own name or a false, borrowed, or assumed identity.

You may not create or use any account to evade usage limits, plan restrictions, billing obligations, compliance or verification controls, or a suspension or termination previously applied to you or to any entity you control or are associated with. Creating an account on behalf of, or for the benefit of, a person or entity that has been suspended or terminated is prohibited.

We may, at our sole discretion, identify and link related accounts, and may suspend, merge, limit, or terminate any or all accounts we reasonably believe are operated by or for the same person or entity in breach of this section, without liability to you.

Acceptable Use and Prohibited Conduct

You agree not to, and agree not to permit any third party to:

  • Use the platform for any unlawful purpose or in violation of applicable sanctions, anti-money-laundering, anti-bribery, export-control, or financial-crime laws.
  • Submit, create, or upload false, misleading, forged, altered, or fraudulent information, documents, signatures, or records, including in trade documents, screenings, provenance records, deal terms, or your profile.
  • Misrepresent your identity, authority, affiliation, the nature of a transaction, the existence or status of goods, or any material fact to the Company or to any counterparty.
  • Use the platform to plan, facilitate, or carry out fraudulent, sham, fictitious, or deceptive transactions, advance-fee schemes, or any arrangement intended to deceive a counterparty or third party.
  • Use the platform to launder money, move proceeds of crime, finance terrorism, evade sanctions, or conceal the source, ownership, or destination of funds or goods.
  • Attempt to circumvent, defeat, manipulate, or interfere with sanctions screening, identity verification, business verification, or any other compliance, security, or risk control, including by entering misleading data or splitting activity across accounts.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity.
  • Reverse engineer, decompile, disassemble, or attempt to extract source code from the platform.
  • Use automated scripts, bots, scrapers, or data-harvesting tools to access, copy, or extract platform data or other users' information without our prior written consent.
  • Transmit malware, viruses, or other harmful code, or otherwise interfere with the integrity or security of the platform.
  • Infringe the intellectual property, privacy, or other rights of the Company or any third party.

You are solely responsible for all activity conducted through your account. A violation of this section is a material breach of these Terms and may result in immediate suspension or termination under the sections below, in addition to any legal remedies available to us.

Sanctions Screening Disclaimer

Important notice

The sanctions screening feature provides informational results only. Results are based on publicly available sanctions lists and fuzzy-match algorithms. A "PASS" result does not constitute a legal clearance or compliance certification.

You are solely responsible for your own compliance with applicable sanctions regulations, including OFAC, EU, UN, and UK OFSI. We strongly recommend consulting qualified legal counsel for compliance decisions. We are not liable for any enforcement actions, penalties, or losses arising from your reliance on screening results.

AI-Generated Content

The AI Assistant generates trade documents and analysis as suggestions only. All AI-generated content must be reviewed and validated by you before use in any commercial transaction. We make no warranty as to the accuracy, legal validity, or suitability of AI-generated documents for any specific transaction or jurisdiction.

Subscription and Billing

Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by law or explicitly stated.

We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

Failure to pay may result in suspension or termination of your account.

Data and Privacy

Your use of TradeFlow OS is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Data Protection and GDPR

For users located in the European Union or European Economic Area (EU/EEA), the EU General Data Protection Regulation (GDPR) applies to our processing of your personal data. We are committed to meeting our obligations under GDPR and ensuring your data is handled lawfully, fairly, and transparently.

Full details of how we collect, use, store, and protect your personal data are set out in our Privacy Policy, including the legal bases for processing, your rights as a data subject, and our international data transfer safeguards.

Regardless of the governing law specified in these Terms, users in the EU/EEA retain all rights granted to them under GDPR. Nothing in these Terms limits or restricts those rights.

Upon account deletion, your personal data will be deleted within 30 days, except where retention is required by law for compliance, regulatory, or accounting purposes.

Business-tier users who act as data controllers and require a formal Data Processing Agreement (DPA) may request one by contacting legal@tradeflow-os.com.

Intellectual Property

The TradeFlow OS platform, including its design, code, and features, is owned by TradeFlow Software, LLC and protected by intellectual property laws.

You retain ownership of the content you create (documents, deal data, provenance records). You grant us a limited license to store and process this content to provide the service.

Termination

You may terminate your account at any time from Settings. We may suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to other users or the platform. Upon termination, your right to access the platform ceases immediately.

Following termination, your personal data will be deleted within 30 days. Some data may be retained beyond this period where required for legal, compliance, or accounting purposes, as described in our Privacy Policy.

Suspension, Limitation, and Enforcement

We may, at our sole discretion and without prior notice, suspend, throttle, restrict, limit, or terminate all or part of your access to the platform, and may withhold, disable, or limit any feature, where we detect or reasonably suspect fraudulent, deceptive, abusive, unlawful, high-risk, or otherwise prohibited activity, a breach of these Terms, a risk to other users or to the platform, or a sanctions, compliance, or security concern.

Where we consider it appropriate, we may suspend your account or hold, restrict, or limit access to documents, deals, or other content immediately and pending the outcome of an investigation. We may also report activity to law enforcement, regulators, financial institutions, or other authorities where we believe in good faith that doing so is appropriate or required.

Any action taken under this section is taken to protect the platform, its users, and the public, and does not relieve you of any obligation under these Terms. To the maximum extent permitted by law, we will not be liable to you or to any third party for any suspension, limitation, throttling, withholding of features, investigation, report, or termination undertaken in accordance with this section.

Indemnification

You agree to indemnify, defend, and hold harmless TradeFlow Software, LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, demands, investigations, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or related to: (a) your use or misuse of the platform; (b) your breach of these Terms or of any applicable law, including sanctions, anti-money-laundering, anti-fraud, or export-control laws; (c) any fraudulent, deceptive, or unlawful act or omission by you or through your account; (d) any document, transaction, representation, or dealing between you and any counterparty; or (e) your violation of the rights of any third party.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of that claim. This obligation survives termination of your account and of these Terms.

Limitation of Liability

To the maximum extent permitted by law, TradeFlow Software, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business listings, arising from your use of TradeFlow OS. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

Without limiting the foregoing, we are not responsible or liable for the acts, omissions, conduct, or content of any user or counterparty, for any transaction or dispute between users, or for any loss arising from fraud, misrepresentation, non-performance, or default by any party other than us. The platform and all features are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or platform notice. Continued use after changes constitutes acceptance.
